Senior Legal Counsel Corporate & Commercial, Common Law Qualified

Responsibilities
  • Advice on company legal matters, including but not limited to commercial contracts, M&A and JVs.
  • Ensure compliance with relevant corporate legislation.
  • Report directly to the Group General Counsel.
  • Draft, review, and negotiate a wide range of commercial agreements, such as:
    • Supply and distribution agreements
    • Service-level agreements (SLAs)
    • Procurement contracts
    • Licensing agreements
    • Banking and financial agreements including lending, acquisition finance and derivatives
    • Joint venture and collaboration agreements
  • Manage contract lifecycle, ensuring compliance and risk mitigation.
  • Provide legal support for M&A transactions, including:
    • Deal structuring and execution
    • Drafting and negotiating share purchase agreements (SPAs) and asset purchase agreements (APAs)
    • Identify legal risks and propose risk mitigation strategies.
  • Ensuring adherence to financial regulations and overseeing compliance frameworks
  • Support internal compliance programs, including anti-bribery, sanctions, data privacy, and competition law.
  • Advise on the legal impact of regulatory changes and help implement necessary internal policies.
  • Maintain and improve internal legal templates and standard operating procedures.

Qualifications & Skills
  • Qualified in a Common Law jurisdiction.
  • 5 to 8+ years of post-qualification experience (PQE), ideally with both law firm and in-house exposure.
  • Strong expertise in corporate law, contract law, and commercial negotiations.
  • Excellent communication, stakeholder management, and problem-solving skills.
  • A business-oriented mindset with the ability to balance legal risk with commercial objectives.
