Our client is a full life cycle utility and infrastructure company that provides professional utility development and O&M services for clients across now or existing city developments to manage, maintain and plan for residential, commercial and industrial type buildings. Our client now seeks to recruit a General Counsel to lead and provide expert legal services and counsel on a range of legal issues to assist the Company in fulfilling and adhering to its operational, legal, and financial requirements. The key focus of this role is the oversight of preparation, review, implementation, and provision of advisory legal processes of the Company’s legal team.
**Reporting to the CEO and managing 2 direct reports, this role is responsible for the following**:
- Aid the Chief Executive Officer, senior management and the board with the decision-making process to protect the legal interests of the firm against material legal exposure to legal liability.
- Advise and management of litigation matters and support legal proceedings and court cases / hearings by representing and coordinating on behalf of the Company.
- Where the risk department works on developing the risk management framework, General Counsel will assist the risk department in such development of the risk management framework to ensure proper and appropriate measures are put into place to protect the Company from legal risks.
- Review and assist in negotiation of agreements with third parties.
- Oversee the appointment of external legal firms when required and manage the professional relations with external law firms, including up-to-date engagement letters, fee information and that conflicts checks are performed by law firm appointed. Review law firm invoices and ensure payments are made according to these invoices.
- Assist in the review of financial documents related to loans taken by the Company.
- Develop legal department strategy in line with the Company’s overall strategy and objectives.
- Oversee company secretary activities of organizing Board and Annual General Meetings and collate information to report to Board and management team.
- Assist in the review of agreements to comply with corporate laws and standards according to the jurisdiction of these agreements.
- Review agreements related to corporate transactions to ensure compliance with laws of relevant jurisdiction.
- Together with the company’s HR function, define an optimum organization structure and direct the development of the divisional structures so that resources are optimally utilized, and communication can take place in an efficient manner.
- Define legal plan, targets, and agenda in line with Company’s vision and mission.
- Ensure that legal strategy works in tandem with Company’s operational strategy and monitor the performance and execution of these plans to achieve its functional objectives.
- Manage the activities of the Legal team to ensure legal competency adhered to.
- Subject to management providing the required support and General Counsel agrees to the appointment of each individual legal advisor to the Company, General Counsel will lead a team of legal advisors by setting objectives, managing performances (when it is manageable) and providing feedback and coaching to the team to meet legal function.
- Assist Finance Department in preparation of the Legal department’s budget and monitor the usage of the budget.
- Develop legal internal policies and procedures for the Company.
- Follow all relevant functional policies, processes, standard operating procedures, and instructions to ensure that work is carried out in a controlled and consistent manner.
- Contribute to the identification of opportunities for continuous improvement of Legal function systems, processes and practices considering ‘international best practice’, improvement of business processes within the legal ambit and cost management.
- Assist the legal team in assessment of current legal practices for efficiency and effectiveness of new approaches.
- Stay abreast of applicable local laws and regulations and monitor changes to support the provision of legal advice to management and ensure timely
- Ensure legal reports when required, will be completed timely and in compliance with Marafeq Qatar’s policies and procedures.
**The attributes we seek for this role comprise**:
- Bachelor’s degree in Law from a reputable university with a proof of practicing certificate A Master’s degree is highly regarded.
- 15+ years of legal experience in a similar role within the property, construction or infrastructure sectors, with at least 5 years in managerial roles.
- Proficiency in English is essential with Arabic being desirable.
